MASTER TERMS AND CONDITIONS & PRIVACY POLICY

Effective Date: August 26, 2025

1. INTRODUCTION AND CONTRACTUAL NATURE OF TERMS

These Terms and Conditions and Privacy Policy (collectively, the “Agreement”)

constitute a legally binding contract between you (“you,” “your,” or “Guest”) and The Farmcoast

Experience LLC, a Rhode Island limited liability company (“Farmcoast,” “we,” “us,” or “our”).

By accessing, purchasing, reserving, or participating in any of our tours, transportation,

ticketed events, digital platforms, or affiliated services (collectively, the “Services”), you

acknowledge that you have read, understood, and agree to be bound by the terms of this

Agreement.

If you do not agree to all provisions herein, you are not authorized to use the Services and

must refrain from accessing any Farmcoast platform or booking any experience.

2. DEFINITIONS

• “Services” include all tours, excursions, events, transportation services, digital bookings,

ticket sales, merchandise, and customer experiences offered by Farmcoast.

• “Site” means all websites, domains, applications, portals, mobile apps, and platforms

operated by or on behalf of Farmcoast.

• “Guest” or “User” refers to any individual or entity accessing, booking, or participating

in any Service.

• “Third-Party Attraction” refers to any venue, restaurant, vineyard, farm, or site not

directly operated by Farmcoast but included in a Farmcoast itinerary.

• “Booking” refers to a confirmed reservation or ticket purchase made by a Guest for a

Service.

• “Force Majeure Event” means any event or condition beyond Farmcoast’s reasonable

control, including weather, public health events, government orders, or mechanical

failures.

3. ELIGIBILITY & ACCEPTANCE

To use the Services, you must be at least 18 years of age or accompanied by a parent or

legal guardian. By completing a booking, you represent and warrant that:

• You are legally competent to enter into this Agreement;

• All information you provide is accurate and complete;

• You agree to comply with all Farmcoast policies, local laws, and tour guidelines.

4. SCOPE OF SERVICES

Farmcoast offers curated tours and experiences focused on the cultural, culinary, and

natural heritage of Rhode Island’s coastal and farmland regions. Services may include:

• Guided bus tours (including via a branded double-decker vehicle),

• Visits to Third-Party Attractions,

• Ticketed events,

• Food and beverage offerings,

• Use of mobile apps or websites for information, booking, or interaction.

Farmcoast reserves the right to modify, suspend, or discontinue any Service or Site

feature at any time without liability.

5. BOOKINGS, PAYMENTS, AND TICKETS

All bookings must be made through Farmcoast’s authorized Site or designated channels.

Full payment is due at the time of booking unless otherwise agreed in writing. Upon payment:

• A ticket or confirmation email will be issued;

• The booking becomes final and non-transferable;

• Farmcoast reserves the right to cancel any unpaid or fraudulent bookings.

Guests must present valid tickets to participate. Lost, stolen, or damaged tickets will not

be reissued.

6. CANCELLATIONS, RESCHEDULING, AND REFUND POLICY

Except as otherwise provided herein:

• All sales are final. No refunds will be issued for unused or partially used Services.

• Refunds may be granted in Farmcoast’s sole discretion for duplicate charges, system

errors, or documented service failure, and may be subject to a 15% administrative fee.

• Rescheduling must be requested no later than 14 days prior to the scheduled experience.

A rescheduling fee of up to 50% of the original purchase price may apply.

• Farmcoast reserves the right to cancel or reschedule Services due to low attendance,

public safety concerns, or operational needs. In such cases, Guests may receive a credit or

alternate booking opportunity at Farmcoast’s discretion.

7. FORCE MAJEURE AND OPERATIONAL INTERRUPTIONS

Farmcoast shall not be liable for any failure to perform, delay, or modification in

performance of any Service due to Force Majeure Events. This includes, without limitation:

• Severe weather,

• Mechanical breakdowns,

• Road closures or traffic disruptions,

• Health emergencies or governmental restrictions,

• Venue closures or staff shortages at Third-Party Attractions.

In the event of such interruptions, Farmcoast will use commercially reasonable efforts to

provide an alternative itinerary or issue a credit, but is under no obligation to refund payments or

compensate Guests.

8. GUEST CONDUCT AND SAFETY

8.1 Behavioral Expectations. Guests are expected to behave respectfully, lawfully, and

safely throughout the course of any Farmcoast Service. Conduct that endangers persons or

property, disrupts the experience of others, or interferes with Farmcoast personnel is strictly

prohibited.

8.2 Prohibited Conduct. Without limitation, prohibited conduct includes:

(a) Intoxication or disorderly behavior;

(b) Harassment or threatening language toward staff or guests;

(c) Tampering with equipment or vehicles;

(d) Disregard for safety instructions or emergency procedures.

8.3 Enforcement and Removal. Farmcoast reserves the right, in its sole discretion, to refuse

service or remove any Guest whose behavior violates these Terms or presents a safety

concern, with or without notice. No refund or credit will be issued in such cases.

8.4 Liability for Damages. Guests are responsible for any damage they cause to Farmcoast

vehicles, equipment, or property, or that of third-party venues, and shall reimburse Farmcoast

for repair or replacement costs upon demand.

9. ALCOHOL, CONTROLLED SUBSTANCES, AND FOOD SERVICE

9.1 Alcohol Consumption. Guests consuming alcohol must be age 21 or older. Farmcoast

reserves the right to request valid identification at any time and to refuse service or remove

any Guest in violation of alcohol policies.

9.2 Zero-Tolerance Drug Policy. The possession or use of illegal drugs or controlled

substances during any Farmcoast Service is strictly prohibited and may result in immediate

removal without refund, and notification to local authorities.

9.3 Food Allergies and Dietary Restrictions. While Farmcoast may accommodate certain

dietary preferences, we make no guarantees regarding allergen-free meals or cross-

contamination. Guests with allergies or dietary sensitivities are solely responsible for

managing their exposure and risk.

9.4 Third-Party Consumption Venues. Food and beverage services may be provided by

third-party vendors, subject to their terms and conditions. Farmcoast disclaims liability for

any illness or injury arising from such third-party services.

10. ASSUMPTION OF RISK AND WAIVER OF LIABILITY

10.1 Voluntary Participation. By purchasing or participating in a Farmcoast Service, you

acknowledge that you are voluntarily engaging in activities that may involve inherent risks,

including but not limited to: vehicular transportation, walking tours, weather exposure, food

and beverage consumption, and interaction with third-party environments.

10.2 Acknowledged Risks. You understand and accept that such risks may include physical

injury, illness, loss of or damage to personal property, and exposure to allergens or

communicable diseases, including COVID-19 and its variants.

10.3 Waiver and Release. To the fullest extent permitted by applicable law, you hereby

waive, release, and discharge Farmcoast, its officers, employees, agents, and affiliates from

any and all claims, liabilities, damages, or losses arising from or related to your participation

in the Services — whether based on contract, tort, negligence, strict liability, statute, or

otherwise — except to the extent caused by Farmcoast’s gross negligence or willful

misconduct.

10.4 Medical Conditions. Guests with existing medical conditions, physical limitations, or

health concerns are solely responsible for determining their ability to safely participate in

Services. Farmcoast assumes no liability for exacerbation of any medical condition.

11. INDEMNIFICATION

11.1 Indemnity Obligation. You agree to defend, indemnify, and hold harmless Farmcoast,

its officers, directors, employees, agents, successors, and assigns (the “Indemnified Parties”)

from and against any and all claims, demands, actions, suits, liabilities, losses, damages,

judgments, settlements, fines, penalties, costs, and expenses (including reasonable attorneys’

fees) arising out of or relating to:

(a) Your use or misuse of the Services;

(b) Any breach of this Agreement;

(c) Your negligent or willful acts or omissions;

(d) Your violation of applicable law or the rights of a third party.

11.2 Third-Party Claims. This indemnification expressly includes claims brought by

other guests, third-party venues, governmental entities, or any other third parties.

11.3 Equitable Relief. Farmcoast reserves the right to seek injunctive or other equitable

relief in the event of breach or threatened breach of these Terms, Conditions and/or

Policies, without the requirement to post bond or prove irreparable harm.

12. LIMITATION OF LIABILITY

12.1 Limitation of Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW,

FARMCOAST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL,

CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES —

INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, LOSS OF

BUSINESS OPPORTUNITY, OR EMOTIONAL DISTRESS — ARISING OUT OF OR IN

CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF FARMCOAST HAS

BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Cap on Liability. WITHOUT LIMITING THE FOREGOING, FARMCOAST’S

AGGREGATE LIABILITY FOR ANY CLAIM OR SERIES OF RELATED CLAIMS

SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO FARMCOAST FOR

THE SERVICE(S) GIVING RISE TO SUCH CLAIM(S) IN THE TWELVE (12) MONTHS

PRECEDING THE EVENT.

12.3 Basis of the Bargain. You acknowledge that the limitations of liability set forth herein

are a fundamental element of this Agreement and that Farmcoast would not provide the

Services absent such limitations.

13. THIRD-PARTY ATTRACTIONS AND DISCLAIMERS

13.1 Independent Operators. Services may include experiences hosted or operated by third-

party entities not affiliated with Farmcoast. These third-party attractions are responsible for

their own operations, safety protocols, pricing, accessibility, and service quality.

13.2 No Agency Relationship. Farmcoast does not control, manage, or supervise third-party

providers and disclaims any liability for acts or omissions of such providers.

13.3 Guest Responsibility. It is your responsibility to comply with the rules, requirements,

and terms of third-party venues. You acknowledge that access or admission to such venues is

not guaranteed and may be subject to capacity, policies, or operating hours.

14. PROHIBITION ON RESALE AND COMMERCIAL USE

14.1 No Resale. You may not resell, license, sublicense, or otherwise commercially exploit

any tickets, bookings, tours, or Services without the express prior written consent of

Farmcoast.

14.2 Non-Commercial Use Only. Services are provided for personal, non-commercial use

only. Any use of Farmcoast content or branding for business purposes without authorization

is strictly prohibited.

14.3 Enforcement. Farmcoast reserves the right to cancel any booking made in violation of

this Section and to pursue legal or equitable relief as necessary.

15. INTELLECTUAL PROPERTY

15.1 Ownership. All content displayed or distributed through the Services, including text,

graphics, logos, trademarks, service marks, images, software, and audiovisual material, is the

exclusive property of Farmcoast or its licensors and is protected under U.S. and international

intellectual property laws.

15.2 Limited License. You are granted a limited, non-exclusive, non-transferable, revocable

license to access and use the Services for personal use only. No right, title, or interest is

transferred to you.

15.3 Restrictions. You may not reproduce, modify, distribute, create derivative works of,

publicly perform, or commercially exploit any portion of the Services without express

written authorization.

16. USER-GENERATED CONTENT AND LICENSE

16.1 Content Submission. If you submit, post, or upload any content, such as reviews,

photos, or comments, you represent that you own or control the rights to such content.

16.2 License Grant. You grant Farmcoast a perpetual, worldwide, irrevocable, royalty-free,

sublicensable license to use, reproduce, modify, publish, translate, distribute, display, and

otherwise exploit such content for any lawful purpose, in any medium.

16.3 Monitoring. Farmcoast may, but is not obligated to, monitor, edit, or remove content that

it deems inappropriate, unlawful, or in violation of these Terms.

17. ACCEPTABLE USE

17.1 Prohibited Activities. You agree not to:

• Use the Services for any unlawful or fraudulent purpose;

• Interfere with the functionality or performance of the Site or systems;

• Circumvent security features or access control measures;

• Deploy automated tools to extract, scrape, or harvest data;

• Transmit viruses or other harmful code.

17.2 Enforcement. Violation of this Section may result in immediate suspension or

termination of access, and potential legal action.

18. MOBILE APPLICATIONS AND DIGITAL ACCESS

18.1 App Features. Mobile apps may require access to device permissions such as location

services or push notifications. You may decline or disable these features in your device

settings.

18.2 Data Charges. You are responsible for any mobile carrier fees or internet service

provider charges incurred in connection with use of digital Services.

19. PRIVACY POLICY – COLLECTION AND USE OF DATA

19.1 Types of Data Collected. We may collect personal data such as your name, email, phone

number, payment details, location data, and usage behavior.

19.2 Purpose. This information is used for processing bookings, providing customer service,

communicating with you, enhancing Services, and complying with legal obligations.

19.3 Consent. By using the Services, you consent to the collection, storage, and processing of

your personal information in accordance with this Privacy Policy.

20. SECURITY

20.1 Safeguards. Farmcoast uses commercially reasonable security measures to protect your

personal information against unauthorized access or disclosure.

20.2 No Guarantee. While we strive to protect your data, no system can guarantee absolute

security. Use of the Services is at your own risk.

21. COOKIES AND ANALYTICS

21.1 Use of Cookies. The Site may use cookies and similar technologies to enhance

functionality and user experience.

21.2 Analytics. We may use analytics providers to collect information about your use of the

Site for internal purposes such as service improvement and marketing.

22. YOUR DATA RIGHTS

22.1 Access and Correction. You may request access to or correction of your personal data by

contacting hello@farmcoastexperience.com.

22.2 Deletion Requests. Subject to applicable law, you may request deletion of your data. We

may retain certain records as required by law or for legitimate business purposes.

23. DISPUTE RESOLUTION – ARBITRATION

23.1 Binding Arbitration. Any dispute or claim arising out of or relating to this Agreement or

the Services shall be resolved by binding arbitration conducted under the rules of the

American Arbitration Association.

23.2 Location and Language. Arbitration shall take place in Providence County, Rhode

Island. Proceedings shall be conducted in English.

23.3 Waiver of Jury Trial. Each party waives its right to a jury trial and agrees that arbitration

is the exclusive remedy.

24. CLASS ACTION WAIVER

24.1 Individual Claims Only. You agree to resolve disputes solely on an individual basis and

waive any right to participate in a class action or representative proceeding.

25. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the

State of Rhode Island, without regard to conflict of laws rules.

26. MISCELLANEOUS

26.1 Entire Agreement. This Agreement constitutes the entire agreement between you and

Farmcoast.

26.2 Severability. If any provision is found to be invalid, the remaining provisions shall

remain in effect.

26.3 Waiver. No waiver shall be deemed a continuing waiver unless expressed in writing.

26.4 Assignment. You may not assign this Agreement without our consent. We may assign

this Agreement without restriction.
